T & C Policies

1. General
Unless otherwise agreed in writing, these conditions ("Conditions") apply exclusively to each transaction ("Contract") for the supply of software services and deliverables ("Services") by SS Edupolis Pvt Ltd (and its permitted assigns and/or sub-contractors) ("the Company") to a client ("the Client") (together "the Parties").
 

2. Price
2.1 The price of the Services ("the Price") is the Company's quoted price and is exclusive of VAT. Quotations will be valid for 30 days from issue. The Company is only bound by orders which it has accepted in writing. An accepted order can only be cancelled or varied with the Company's consent.
2.2 The Client will pay the Price plus VAT in advance.
 

3. Promotional Materials
The Client must supply sufficient information to enable the Company to proceed with the execution of the Contract. The Client must supply any relevant materials ("Materials") to the address stated by the Company and insure against the accidental loss or damage by the Company of the Materials. The Company has no liability for any loss or damage to Materials, howsoever caused. The Client warrants that the Materials will not infringe the copyright or other intellectual property rights of a third party and will not be abusive or indecent or defamatory. The Client will indemnify the Company for and against any loss, damage, costs, expenses, or other claims arising from breach of this warranty. The Company may destroy any surplus materials without reference to the Client and without further liability.
 

4. Additional Costs
The Client must, on request, pay any additional costs to the Company in supplying the Services caused by: any breach, default, delay, or variation by the Client of its obligations under the Contract or these Conditions; any factor beyond the Company's reasonable control; any change in the dates of the supply of the Services which the Client requires; or any delay caused by the Client's instructions or failure to provide adequate information.
 

5. Warranty
5.1 The Company warrants that it will use reasonable endeavours to perform the Services with reasonable skill and care.
5.2 The Company does not guarantee any specific results or outcomes related to the Services provided.
5.3 Where any valid warranty claim is made in respect of any Services, the Company may choose to re-perform the Services free of charge or grant a credit or refund to the Client at its discretion.
 

6. Limitation of Liability
6.1 Except as provided in Condition 6.4, the Company is not liable to the Client for any loss of profit, business, contracts, opportunity, goodwill, revenues, anticipated savings, expenses, costs, or similar loss; and/or any indirect, special, or consequential loss or damage arising out of or in connection with the Contract.
6.2 The Company’s liability in connection with the Contract is limited to the Price received by the Company for the relevant Services.
6.3 The Company will have no liability for any loss, damage, costs, or other claims arising from incomplete or incorrect Materials or instructions provided by the Client.
6.4 The Company is not liable for death or personal injury caused by its negligence.
 

7. Cancellation
7.1 The Client may cancel the Contract at any time, subject to the following cancellation charges
7.2 With between two and one months left prior to the agreed start date of the Services: 50% of the service charge subject to a minimum fee of £150.00 + VAT.
7.3 With less than one month and more than fourteen days left prior to the agreed start date of the Services: 75% of the service charge subject to a minimum fee of £150.00 + VAT.
7.4 Within fourteen days prior to the agreed start date of the Services: 100% of the service charge subject to a minimum charge of £150.00 + VAT.
 

8. Exclusivity
The Client grants the Company exclusivity to perform the Services using its personnel and agrees not to contract directly with personnel involved in the project.
 

9. Complaints Procedure
Any complaint regarding the Services must be submitted in writing within seven days of the completion of the agreed work. Complaints not received within this period will not be considered.
 

10. Force Majeure
The Company is not liable for failure or delay in performance of its obligations due to circumstances beyond its reasonable control.
 

11. Third Parties
Each Contract confers rights and benefits solely on the Client, and no third party may acquire rights or benefits under the Contract.
 

12. Assignment
The Contract may not be assigned by the Client, but the Company may assign or sub-contract any of its rights or obligations.


13. Waiver
Any waiver by the Company of a breach by the Client will not be construed as a waiver of any subsequent breaches.


14. Entire Agreement
These Conditions, along with any referenced documents, set out the entire agreement between the Parties. Any representations not included in the Contract are not valid.


15. Law and Jurisdiction
These Conditions and the Contract are governed by Indian law, including the Information Technology Act, 2000 and the Indian Penal Code, and the Parties agree to the exclusive jurisdiction of Indian courts.

16. Privacy & Data Protection
16.1 We comply with the Information Technology Act, 2000 and rules thereunder, and the Indian Penal Code, safeguarding all personal and sensitive personal data (“Data”) collected in connection with the Services.
16.2 Data Collection: We collect only Data necessary to perform business consultancy, marketing & legal, and talent management services.
16.3 Purpose Limitation: Data is used solely for Service delivery, client communication, compliance, and dispute resolution.
16.4 Data Security: We implement industry-standard technical and organizational measures to protect Data against unauthorized access, disclosure, alteration, or destruction.
16.5 Data Retention: Data is retained only as long as required for Service provision or as mandated by applicable Indian statutes, after which it is securely deleted.
16.6 Client Rights: The Client may request access to, correction of, or deletion of their Data. Requests should be addressed to privacy@stratsquare.com.
16.7 Third-Party Disclosure: Data may be shared with “Service Providers” bound by NDA, or “Legal Authorities” when compelled by Indian law.
16.8 Cross-Border Transfer: Any transfer of Data outside India will comply with applicable Indian data-export regulations.
16.9 Breach Notification: We will notify the Client and relevant authorities of any Data breach within the timelines prescribed by Indian law.
